Product: Syntri - Automated PO, GRN and Invoice Matching Platform

1. Acceptance of Terms

By accessing, registering for or using Syntri ("the Service"), you agree to these Terms of Service. If you do not agree, you may not access Syntri. These Terms form a binding contract between Craft Intelligence Ltd (UK) and the organisation registering for the Service ("Client", "you").

2. Description of Service

Syntri provides:

Automated PO/GRN/Invoice matching

Exception detection and analytics

Supplier performance insights

Dashboards and reporting

Data upload and API integration

Secure cloud hosting

Support and maintenance

The Service is provided online as Software-as-a-Service (SaaS). We may improve, update or modify the Service at any time.

3. Client Responsibilities

You agree to:

Use Syntri only for lawful business activities

Maintain secure access to your accounts

Ensure your users are authorised

Provide accurate and lawful data

Not misuse or interfere with the platform

Comply with applicable regulations (e.g., GDPR, POPIA)

4. Restrictions

You may not:

Reverse-engineer or attempt to access source code

Circumvent security or attempt unauthorised access

Upload malicious or harmful content

Use the Service for fraudulent activities

Allow unauthorised third-party access

Resell or white-label the Service without agreement

5. Billing & Payment

Fees are charged monthly or annually. Billing terms:

Fees are due in advance

Late or failed payments may result in suspension

Fees are non-refundable unless required by law

Enterprise clients may require separate invoicing terms

6. Intellectual Property

All IP, algorithms, code, branding, documentation and data processing logic belong to Craft Intelligence Ltd. Clients retain ownership of their data.

7. Data Ownership & Access

Client data remains the exclusive property of the Client. Craft Intelligence will:

Process data only as required to deliver the Service

Never sell or share data with third parties for marketing

Delete Client data within 90 days upon termination

8. Service Availability

We strive for high uptime and performance. Maintenance or downtime will be communicated in advance where possible. See SLA for uptime commitments.

9. Limitation of Liability

Craft Intelligence is not liable for:

Indirect or consequential damages

Losses due to inaccurate or incomplete Client data

Business disruption caused by misuse or third-party failures

Maximum liability is limited to fees paid during the last 12 months.

10. Termination

Either party may terminate with written notice. Upon termination:

Client access is removed

Data exports remain available for a limited period

All remaining data is deleted within 90 days

11. Governing Law

Governed by the laws of England & Wales.
